Terms & Conditions

These Terms govern access to the Usherdesk website and service. By creating an account, using the service, or accepting an order that refers to these Terms, you agree to them.

1. Operator and eligibility

Usherdesk provides the Usherdesk website and service. You must be at least 18 and able to enter a binding agreement. If you use Usherdesk for an organisation, you confirm that you have authority to bind it; “you” then means that organisation.

2. The service

Usherdesk provides an AI sales representative that customers can deploy through a website widget or shareable QR code. It can use customer-approved website and document content to answer questions, capture structured lead details, apply configured qualification questions, and hand live conversations to authorised users. Available features and limits may depend on the selected plan and technical readiness of third-party services.

Avatar, voice, mobile communication, hosting, notification, and delivery features may depend on third-party services that Usherdesk does not control. Features described as beta, preview, or experimental may change or be withdrawn.

3. Accounts and access

  • Provide accurate registration information and keep it current.
  • Keep credentials confidential and use appropriate access controls for your team.
  • Remain responsible for activity under your account and for authorised users.
  • Notify hello@usherdesk.com promptly if you suspect unauthorised access or a security incident.

4. Customer responsibilities

You are responsible for your website, QR placements, source content, instructions, qualification fields, user permissions, and the lawful collection and use of lead data. You must provide accurate notices and obtain any permissions needed to deploy the representative, process conversations, collect contact details, and deliver leads to other systems.

You must review the service for your use case before relying on it and maintain a reasonable human route for questions that the assistant should not answer.

5. Acceptable use

  • Do not use Usherdesk unlawfully, deceptively, or to infringe another person’s rights.
  • Do not submit malware, probe or bypass security, disrupt the service, scrape it at unreasonable volume, or attempt unauthorised access.
  • Do not use the assistant as the sole decision-maker for emergency, medical, legal, financial, employment, housing, credit, insurance, or other high-impact decisions about a person.
  • Do not misrepresent an AI response as a human response or remove required disclosure in a misleading way.
  • Do not process sensitive or regulated data unless your agreement and configuration expressly support it and you have the necessary legal basis and safeguards.

6. AI output and human oversight

AI output is probabilistic and may be inaccurate, incomplete, outdated, or unsuitable. Usherdesk does not guarantee that every answer will be correct or that every lead will be captured or routed as intended. You are responsible for source accuracy, configuration, testing, monitoring, and deciding when a person must review or take over.

Usherdesk is not an emergency service and does not provide legal, medical, financial, or other professional advice. Do not use output as a substitute for qualified judgement in consequential matters.

7. Customer content

You retain ownership of content and data you provide. You grant Usherdesk a limited right to host, copy, transmit, retrieve, transform, and process that content only as needed to provide, secure, support, and improve the contracted service, comply with law, and follow your documented instructions.

You confirm that you have the rights and permissions needed for all content and data submitted to the service. You are responsible for responding to people whose information appears in your lead records and conversations.

8. Plans, fees, and taxes

If you purchase a paid plan, the price, usage limits, billing interval, renewal terms, and any trial conditions shown at checkout or in an order form apply. Fees are exclusive of taxes unless stated otherwise. You authorise the payment provider to charge the selected payment method. Except where law or the applicable order requires otherwise, fees already paid are non-refundable.

We may change future pricing or plan limits with reasonable notice. A change will not retroactively alter charges already incurred.

9. Third-party services

The service may connect to websites, mobile applications, CRMs, Google Sheets, payment providers, email services, and other third-party systems. Their terms, policies, availability, verification processes, and technical limits apply separately. Usherdesk is not responsible for a third party’s service, content, suspension, or change.

10. Usherdesk intellectual property

Usherdesk and its licensors retain all rights in the service, software, interfaces, documentation, brand, and related technology, excluding customer content. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the service for your internal business purposes during the subscription.

If you provide feedback, you permit us to use it without restriction or payment, provided we do not publicly identify you without permission.

11. Availability and changes

We aim to operate a reliable service but do not promise uninterrupted or error-free availability. Maintenance, security events, third-party failures, internet conditions, and force-majeure events may affect access. We may change the service where reasonably necessary for security, compliance, performance, or product development.

12. Suspension and termination

You may stop using the service and cancel as permitted by your plan or order. We may suspend or terminate access for material breach, non-payment, security risk, unlawful use, harm to the service or others, or where required by law. Where practical, we will provide notice and an opportunity to remedy the issue.

On termination, access ends and data may be deleted after the applicable retention or export period. Provisions that by nature should survive—including ownership, payment obligations, disclaimers, liability limits, and dispute terms—remain effective.

13. Disclaimers

To the maximum extent permitted by law, the website and service are provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

14. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, punitive, or consequential loss, or for lost profits, revenue, goodwill, or data, arising from these Terms or the service. Usherdesk’s aggregate liability arising from the service will not exceed the amount paid or payable by you for the service during the 12 months immediately before the event giving rise to the claim.

These limits do not apply where liability cannot legally be limited and do not limit your payment obligations, misuse of another party’s intellectual property, or breach of the acceptable-use obligations.

15. Governing law and contact

These Terms are governed by the law specified in the applicable order form or customer agreement, and disputes are subject to the forum stated there. Where no separate agreement specifies these matters, applicable mandatory law determines them. Questions may be sent to hello@usherdesk.com.
